Selling a behavioral health practice in Pennsylvania

In Pennsylvania, Medicaid-funded ABA runs through licensed intensive behavioral health services (IBHS) agencies, so a buyer is acquiring an IBHS license as well as clinicians. Drug and alcohol treatment licenses from DDAP are not transferable, and a change of ownership must be reported within 90 days or the license expires automatically. Pennsylvania has not had a certificate of need since 1996.

ABA through IBHS agencies

Pennsylvania's Medical Assistance program pays for intensive behavioral health services when they are medically necessary and delivered to children, youth, or young adults by licensed IBHS agencies enrolled as Medical Assistance providers. Covered ABA services include behavior analytic services, behavior consultation, assistant behavior consultation, and behavioral health technician services.

For a buyer, the IBHS license, its approved service description, and your staffing against IBHS requirements are central to diligence. Pennsylvania's state credential for many ABA clinicians has been the Behavior Specialist License issued by the State Board of Medicine, so buyers will check which clinicians hold it alongside board certification.

Drug and alcohol treatment: the 90-day rule

DDAP licenses drug and alcohol treatment facilities. A license applies to the named person, facility, premises, and activities, and it is not transferable. Under 28 Pa. Code §§ 709.14 and 711.14, the Division of Drug and Alcohol Program Licensure must be told about any ownership change within 90 days, using DDAP's facility request form, and the new owners submit an ownership and business management form.

Missing that notice causes the license to expire automatically. In practice, buyers and sellers agree in the purchase agreement who files, when, and with what supporting documents, and buyers usually make the filing a closing deliverable.

Outpatient mental health

Therapy and psychiatry practices are valued on clinicians and payer contracts: how many clinicians are credentialed with each commercial plan and Medicaid behavioral health managed care organization, how much volume you personally carry, and how stable tenure has been. Licensed outpatient clinics also bring state licensing into the timeline, so identify early whether your practice operates under a clinic license.
