Selling a behavioral health practice in Massachusetts
Massachusetts requires a licensed substance use disorder program to file a Notice of Intent at least 90 days before a transfer of ownership, which includes any change that shifts control of the program. The state has licensed applied behavior analysts since 2013, MassHealth covers medically necessary ABA for members under 21 with autism, and private equity or MSO deals can require notice to the Health Policy Commission.

Substance use treatment: 90 days' notice
Under 105 CMR 164, a transfer of ownership of a substance use disorder treatment program means a transfer of a majority ownership interest, and also any change in ownership interest or structure that changes control of the operation. At least 90 calendar days before the transfer, the program must submit a Notice of Intent to the Department of Public Health on its form.
Ninety days is a long lead time, so the filing usually goes in shortly after the letter of intent. Because control changes count even without a majority sale, recapitalizations and new board arrangements can also trigger it.
ABA therapy: licensure and MassHealth
Massachusetts licensing of applied behavior analysts became law in January 2013. Licensed applied behavior analysts and licensed assistant applied behavior analysts apply through the Department of Public Health's licensing system, and buyers will check every clinician's license.
State law requires MassHealth to cover medically necessary ABA for children under 21 with autism who are enrolled in MassHealth Standard, CommonHealth, or Family Assistance, and MassHealth also covers ABA provided through a student's IEP in the school-based program. Buyers look at your MassHealth, commercial, and school district revenue mix.
Health Policy Commission review
Since April 8, 2025, material change notices to the Health Policy Commission cover transactions with significant equity investors, including private equity, that change ownership or control, and transactions involving MSOs. Behavioral health platforms backed by private equity are among the most active buyers, so ask early whether notice applies to your deal.
